1. Acceptance of Terms
By accessing or using the Benin Energy website at beninenergi.com, our mobile applications, or any related services (collectively, the "Services"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you must not use our Services.
These Terms constitute a legally binding agreement between you and Benin Energy ("we," "us," or "our"), a company registered in Nigeria.
2. Eligibility
You must be at least 18 years old to use our Services. By using our Services, you represent and warrant that you:
- Are at least 18 years of age
- Have the legal capacity to enter into a binding agreement
- Are not prohibited from using our Services under applicable laws
3. Description of Services
Benin Energy provides a platform for the collection, aggregation, and export of used cooking oil (UCO). Our Services include:
- Sellers: Registration and scheduling for UCO collection from restaurants, food vendors, hotels, and households
- Agents: Tools for agent onboarding, territory management, seller registration, and collection coordination
- Drivers: Route management, pickup scheduling, and delivery tracking for UCO logistics
- Buyers: Access to information about UCO feedstock availability, quality specifications, and procurement processes
- Investors: Information about investment opportunities in Benin Energy
4. Account Registration
To access certain features, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Keep your password confidential and not share your credentials
- Notify us immediately of any unauthorized access to your account
- Accept responsibility for all activities under your account
We reserve the right to suspend or terminate accounts that provide false information, violate these Terms, or engage in fraudulent activity.
5. Agent and Driver Obligations
If you register as an agent or driver, you additionally agree to:
- Complete the required verification and onboarding process
- Provide valid government-issued identification
- Comply with all Benin Energy operational guidelines and quality standards
- Handle UCO in accordance with safety and hygiene protocols
- Maintain accurate records of collections, volumes, and payments
- Not engage in any activity that misrepresents Benin Energy or its services
- Report any safety incidents, quality concerns, or irregularities promptly
6. Payments and Transactions
- Sellers are paid based on the volume and quality of UCO collected, at prevailing market rates
- Agent commissions are calculated per the agent agreement and paid according to the agreed schedule
- All payments are processed through approved channels (bank transfer, mobile money, or cash as applicable)
- Prices and commission rates are subject to change with reasonable notice
- You are responsible for any taxes applicable to payments you receive
7. Quality Standards
All UCO collected through our platform must meet our quality standards. UCO that is contaminated with water, chemicals, motor oil, or non-food-grade substances will be rejected. We reserve the right to adjust pricing or refuse collection based on quality assessment.
8. Intellectual Property
All content, trademarks, logos, software, and materials on our Services are owned by or licensed to Benin Energy and are protected by intellectual property laws. You may not:
- Copy, modify, or distribute our content without written permission
- Use our trademarks or branding without authorization
- Reverse-engineer, decompile, or disassemble our software
- Use our Services to build a competing product or service
9. Prohibited Conduct
When using our Services, you must not:
- Provide false or misleading information
- Engage in fraud, misrepresentation, or deceptive practices
- Interfere with the proper functioning of our Services
- Attempt to gain unauthorized access to our systems
- Use our Services for any unlawful purpose
- Harass, threaten, or abuse other users, agents, drivers, or staff
- Sell or pass off non-food-grade oil or contaminated substances as UCO
- Violate any applicable local, state, national, or international law
10. Limitation of Liability
To the fullest extent permitted by applicable law, Benin Energy shall not be liable for:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, data, or business opportunities
- Damages arising from your use of or inability to use our Services
- Actions or omissions of third-party service providers
Our total liability for any claim arising under these Terms shall not exceed the amount you paid to us, if any, in the twelve (12) months preceding the claim.
11. Indemnification
You agree to indemnify and hold harmless Benin Energy, its directors, officers, employees, agents, and affiliates from any claims, damages, losses, or expenses (including legal fees) arising from your use of our Services, your violation of these Terms, or your violation of any rights of a third party.
12. Disclaimer of Warranties
Our Services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. We do not warrant that our Services will be uninterrupted, error-free, or free of viruses or other harmful components.
13. Termination
We may suspend or terminate your access to our Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive termination shall survive, including intellectual property, limitation of liability, indemnification, and dispute resolution.
14. Dispute Resolution
Any disputes arising from these Terms or your use of our Services shall first be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to mediation under the rules of the Lagos Court of Arbitration. If mediation is unsuccessful, the dispute shall be resolved by binding arbitration in Lagos, Nigeria.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to conflict of law provisions.
16. Changes to These Terms
We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Your continued use of our Services after changes are posted constitutes acceptance of the revised Terms. We will make reasonable efforts to notify active users of material changes via email or in-app notification.
17. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
